❶ An annual or monthly subscription
Riot services are provided on a subscription basis. The billing frequency is set by your contract: most often annual, sometimes monthly.
In all cases, your contract defines:
a minimum number of licenses (the "contractual minimum");
a unit price per license, applied according to your billing frequency (annual or monthly).
Unless amended by a signed addendum, the contractual minimum remains the one defined in the initial contract.
❷ Billing and renewal
The frequency at which your invoices are issued follows the periodicity of your subscription:
Annual subscription: an invoice is issued on the start date, then on each anniversary date. The contract is automatically renewed for successive periods of one (1) year, unless terminated under the conditions set out in the contract.
Monthly subscription: an invoice is issued every month, according to the conditions specified in your contract.
The amount of each invoice corresponds to:
Number of licenses billed × Applicable unit price (annual or monthly)
❸ How is the number of licenses determined?
The number of active licenses corresponds to:
users synced via your directory (Google Workspace, Microsoft Entra ID / Azure AD, etc.);
users added manually in the platform;
or a combination of both.
This number may change depending on your headcount.
❹ Adjustment when the number of licenses changes
When the number of active licenses exceeds the contractual minimum, an additional charge is applied pro rata to the excess licenses and their activation period. For an annual subscription, it is calculated as follows:
Excess licenses × Annual unit price × (Number of activation days / 365)
Adjustments are carried out quarterly and annually, automatically.
If an adjustment results in a credit balance (for example when the number of excess licenses decreases), it is applied to the next invoice.
💡 Good to know: adjustments are always calculated with reference to the contractual minimum defined in the initial contract, including after renewal, unless amended by a signed addendum.
Understanding your adjustment invoice:
Unused time: the portion of your previous subscription that you have not yet used in the current period is refunded (credited) to you, since you are moving to a new configuration before the end of that period.
Remaining time: the amount of your new subscription (new licenses as of the adjustment date) is calculated only for the time remaining until the end of the current period, and not for the full period.
❺ If the contract is amended (addendum)
If a change is signed by the parties (number of licenses, scope of services, pricing terms, etc.), two options are possible, depending on what the applicable addendum specifies:
apply the changes on a pro rata temporis basis while keeping the original anniversary date; or
reset the anniversary date and open a new period starting from the effective date of the change. In this case, Riot deducts from the new invoice the amounts already paid covering the remaining period.
